Subprocessor review packet checklist for startup attorneys

When a founder sends you a vendor-change notice to review, the fastest path is a compact packet that includes the facts, the draft copy, and the proof trail in one place.

A good review packet should let an attorney confirm the notice facts quickly, compare them against the agreement, and decide whether the draft needs a narrower segment, a different deadline, or a stronger explanation.

Agreement facts

Include the DPA, the relevant customer agreement, the notice period, the objection language, and any recipient rules that affect who must receive the message.

Vendor facts

List the vendor name, service purpose, data categories, processing region, and whether this is a new vendor, a replacement, or a material change to an existing vendor.

Customer segment

Show which customers are affected and why. If the notice only applies to one region or contract group, make that scope obvious in the packet.

Draft notice copy

Attach the subject line, body copy, short version, effective date, and objection deadline so the reviewer can scan the exact wording without hunting through drafts.

Proof trail

Provide the archived subprocessor page, the evidence log, the sender, the intended delivery channel, and any internal approval notes already collected.

Open questions

Flag anything that still needs legal judgment, such as a shortened notice period, a sensitive region change, or an objection workflow that might need human follow-up.
